Default Processor / MoBo Upgrade Advice

I just picked up a new videocard and naturally I want to replace the rest of my computer. I'm looking to spend maybe $300-400 on a processor and motherboard. I'm looking to play some games and I do enjoy overclocking. I have been looking at the Pentium e5200 as a candidate, but I am completely out of the loop when it comes to motherboard chipsets. I'm not looking for a motherboard with a pile of options, but overclocking options would be nice. An AMD 6000+ is also tempting, but I think the intel is probably the better buy.

The obvious choice would be an E8400 and a Gigabyte GA-EP45-UD3R or Asus P5Q-E.

    Second that. E8400 + P5Q-E = me very happy.
